Job Summary

The General Counsel is part of the executive leadership team and has responsibility for oversight of all legal affairs for Solera Health. This role is responsible for overseeing the legal and compliance matters of Solera Health, including risk identification and mitigation for strategic planning, and assisting in the planning and management of the meetings of the Board of Directors. They will also oversee the legal and compliance needs, providing senior management with effective advice on company legal and compliance risks, balancing against the needs of the business. This role is directly involved in complex business transactions and negotiating critical contracts.

Essential Roles and Responsibilities

  • Provide substantive analysis and counsel to the President and CEO, senior management and Board of Directors (Board) on a variety of legal, regulatory, and policy issues.
  • Serves as key lawyer/legal advisor on all major business transactions with respect to compliance and contracting, including regulatory and statutory compliance, commercial arrangements, and other organization commitments / obligations.
  • Responsible for the oversight and evolution of Solera’s Compliance Program and legal processes, and ensure the effectiveness of Solera’s Compliance Program.
  • Participates in the definition and development of corporate policies, procedures and programs and ensures compliance with laws, regulations and client obligations.
  • Provides continuing counsel and guidance on legal matters, compliance, and contracts, including but not limited to customers and vendors.
  • Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.
  • Provides direction and oversight of Legal and Compliance teams, to ensure an effective compliance program to maintain compliance with regulatory, contractual, and internal policies and standards.
  • Oversees the selection, retention, management and evaluation of all outside counsel.
  • Advises the organization on ethics and compliance matters.
  • Conducts and/or directs internal investigations.
  • Coordinating and supporting corporate monitoring and auditing procedures.
  • Reviewing internal audit and investigative reports.
  • Identifying trends related to ethics and compliance.
  • Maintain direct lines of communication with senior leadership and the Board of Directors.

  • This position has direct supervisory responsibilities over the legal and compliance teams.

  • Advanced skills in Microsoft Word, Excel, Outlook and SharePoint.

Education and Qualifications

  • JD from accredited U.S. law school.
  • 15+ years’ experience in a healthcare organization, health law firm environment or working specifically in a legal function for a health services company.
  • Experience working on matters of corporate compliance in a health services company and contracting in the healthcare industry.
  • Experience managing outside attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
  • Experience in a venture backed and or growth stage business a plus.

Where you are located

  • This is a remote position within North America time zone(s) and will require travel to other corporate locations as needed.
